Собствеността в АЕЦ „Белене”, меморандумът

В бъдещата компания, която не е сигурно, че ще бъде създадена между НЕК и Росатом за изграждане на АЕЦ „Белене” се предвижда НЕК да има 51% от централата, компанията "Алтран" – 1%, "Фортум" - от 1-25%, а останалият дял ще бъде за "Росатом", това заяви министърът на икономиката, енергетиката и туризма Трайчо Трайков в отговор на журналистически въпрос след подписване на меморандумите за изграждане на компанията АЕЦ "Белене".Благодарни сме на "Росатом", че приеха този документ да бъде публичен, в него няма клауза за конфиденциалност, посочи министър Трайков.
Меморандумът е публикуван на сайта на министерството, но засега той е само на английски език.
Цената на АЕЦ "Белене" не трябва да надвишава 6, 298 млрд. евро, е записано в подписаните днес документи между "Росатом" и НЕК, заяви генералният директор на "Росатом" Сергей Кириенко. По думите му това не означава, че цената на централата ще е тази, а че не може да бъде по-висока.
Решени сме да работим заедно и да дадем най-доброто от себе си, за да се случи проектът по най-добрия начин, каза Трайков. Това, което подписваме сега са принципи, по които ще работим, за да създадем проектна компания, заяви още министърът.
Най-важното предстои да се случи в следващите месеци - договаряне на цена и на акционерни дялове, каза Трайков. "Фортум" и "Алтран", които влизат в проекта сега, правят възможно всичко това да се случи, добави той. Няма да се стигне до изливане на бетон, ако няма яснота, заяви Трайков и добави, че категорична яснота ще има преди съставянето на проектната компания.
Сергей Кириенко заяви, че е трябвало да се вземе решение или да се спре проекта АЕЦ "Белене" или да се приеме друга философия на проекта - тази на икономическата целесъобразност. Проектната компания ще е собственик на АЕЦ "Белене", тя ще определи цена и всичко останало, каза Кириенко. Такава проектна компания ще позволи да се присъединят инвеститори към нея и ще даде възможност на българската страна да избере с какъв дял да остане, добави още той.
Изпълнителният директор на НЕК Красимир Първанов заяви пред журналисти, че участието на компаниите "Алтран" и "Фортум" в компанията АЕЦ "Белене", макар и с малки акционерни дялове, ще даде сигнал и към други големи инвеститори, че проектът върви и по него се работи.

MEMORANDUM OF UNDERSTANDING ON THE PRINCIPLES OF INCORPORATION
OF BELENE POWER COMPANY

This Memorandum on the principles of incorporation of Belene Power Company (the “ MoU”) is made and entered into in Bulgaria, Sofia this 30th day of November, 2010 by and between:

SC “Rosatom”, a legal entity organized and existing under the laws of the Russian Federation with its registered office at 24, Bolshaya Ordynka Str., Moscow, 119017, the Russian Federation (hereinafter referred to as “Rosatom”),
and
Natsionalna Elektricheska Kompania EAD a legal entity duly incorporated and existing under the laws of the Republic of Bulgaria with its registered address at 8, Triaditsa Str., Sofia, 1000, Bulgaria (hereinafter referred to as “NEK”),

hereinafter individually referred to as “Party” or jointly as the “Parties”.
(A) On the grounds of Decision of the Counsel of Ministers of Republic of Bulgaria No.260 dated April 8th, 2005, Letter of the Ministry of Energy And Energy Resources with obligatory instructions dated 5th of May 2005 for resuming work on construction of Belene Nuclear Power Plant (“Belene NPP”), and according to Article 3, Clause 1, item 3 (в), Article 7, Clause 1, item 5 (a), Article 16, Clause 3 and Clause 6, item 1 and Article 103 of the Public Procurement Law and Decision by the Board of Directors of the Employer, taken by Protocol No. 19 of 10 th of May 2005, NEK has announced a public procurement procedure for awarding a contract for completion of the design and construction, commissioning and putting into operation of Unit 1 and 2 of Belene NPP (the “Tender”).
(B) As a result of the completed evaluation process of the offers submitted during the Tender and following the discussions and qualifications of the offers and the preliminary negotiations with the candidate vendors, with its Decision under point 1 taken by Protocol No.42 of 30th of October 2006, NEK has announced Rosatom’s subsidiary company JSC “Atomstroyexport” (“ASE”) to be the candidate vendor, who is ranked first based on the Contractor’s Tender, and with whom the negotiations for conclusion of a contract shall be conducted for the Contractor’s Tender.
(C) NEK and ASE have entered into Agreement dated 29 November 2006 (the “Agreement 2006”) for the purpose of the development, implementation and completion of the design, procurement, construction, installation and commissioning of the Belene NPP in order to generate and supply electricity to the Bulgarian electricity grid (the “Project).
(D) NEK and ASE have entered into Contract Agreement dated 18 January 2008 for the purpose of Project implementation (the “Contract Agreement”) which forms part of the Contract for construction of Units 1 and 2 of Belene NPP (the “EPC Contract”).
(E) NEK has expressed its intention to establish the Project Company that shall be the assignee of the NEK for the purpose of implementing the Project and that shall be the owner of the Belene NPP.
(F) Rosatom is willing to participate and become a shareholder in the Project Company through its subsidiaries.

NOW THEREFORE, the Parties agree as follows:

ARTICLE 1
1.1. The Parties shall make reasonable endeavours to incorporate in Bulgaria, Sofia, a joint-stock company under the Bulgarian Commerce Act with the name “Belene Power Company” JSC (the “Project Company”) that shall be the assignee of NEK for the purpose of implementing the Project and that shall be the owner of the Belene NPP under the following conditions:
(i) executing legally binding agreements outlining the rights and the obligations of the Parties and the terms and conditions for the incorporation of the Project Company and the implementation of the Project;
(ii) fair and commercially reasonable evaluation of any in-kind contributions to the capital of the Project Company;
(iii) the initial shareholders of the Project Company shall be NEK, Rosatom participating through its subsidiaries, and any third party(-ies) - European or other equity investor(s) that may be attracted by either of the Parties (if any). NEK shall initially be a majority shareholder of the Project Company having not less than 51 % (fifty one per cent of the Project Company’s shares and NEK’s majority shareholding can be changed if agreed by the Parties after incorporation of the Project Company;
(iv) Rosatom shall make reasonable endeavours to:
(a) arrange debt and equity financing necessary for successful implementation of the Project from the most efficient sources of financing including, without limitation, ECA (Export Credit Agency), MLAs (Multilateral Agencies) and commercial banks, whereby no state guarantee in any form shall be provided by the Republic of Bulgaria; terms and conditions of such financing shall be further agreed upon by the Parties not later than the date of incorporation of the Project Company;
(b) attract European or other equity investor(s) as initial or future shareholder(s) in the Project Company;
(c) facilitate ASE’s achieving the commissioning of Unit 1 of Belene NPP by the year 2016 and Unit 2 of Belene NPP by the year 2017;
(v)NEK shall make reasonable endeavours to:
(a) transfer as in-kind contribution to the capital of the Project Company the ownership title to the Site, including the land, necessary for the development of the Project. The value of the in-kind contribution will be evaluated by the Parties;
(b) assign and transfer to the Project Company the respective rights and obligations under the EPC Contract (including the Agreement of 29 November 2006, the Contract Agreement of 18 January 2008, the Terms and Conditions and the Appendices to the EPC Contract), the contract for the Architect-Engineer services and the other contracts relevant to the Project to be agreed by the Parties.

ARTICLE 2
2.1. For the purposes of implementation of this MoU , the Parties shall form joint working, expert, consulting and other groups of the Parties' specialists and involve specialists from third parties if needed.
2.2. The Parties shall make reasonable endeavours to develop, negotiate and execute the Shareholders’ Agreement and the constitutive documents for the establishment of the Project Company within three (4) months as from the execution of this MoU and to register the Project Company within six (6) months as from the execution of the Shareholders’ Agreement and the constitutive documents for the establishment of the Project Company.
2.3. The Parties shall make reasonable efforts to facilitate the start of the construction works within ten (10) months as from the execution of this MoU.

ARTICLE 3
3.1. Unless otherwise expressly agreed by the Parties, each Party shall cover its own costs and expenses incurred or to be incurred in connection with the negotiation, preparation or execution of this MoU.
ARTICLE 4
4.1. This MoU shall be effective as from its execution by both Parties.
4.2. Each Party may terminate this MoU with 20 business days’ prior written notice to the other Party if the Parties fail to establish the Project Company within 10 months from the date of execution of this MoU. Such termination shall not give rise to any type of liability neither contractual, nor pre contractual, whatsoever.
4.3. The purpose of this MoU is only to express the intentions of the Parties, and is not intended to be legally binding on and enforceable against either Party.
4.4. Neither Party shall assign or transfer any of its rights and obligations under this MoU without the prior written consent of the other Party.
4.5. This MoU shall not be amended, varied or modified in any manner except by an instrument in writing expressly referring to this MoU and signed by the Parties hereto.
4.6. Neither Party is the agent or representative of the other Party and this MoU shall not be interpreted or construed to create an association, agency, joint venture or partnership relationship between the Parties (including under Chapter XV of the Bulgarian Obligations and Contracts Act).

IN WITNESS WHEREOF, Parties hereto have caused this MoU to be executed in English language by their respective duly authorized representative as of the day and year above written.
